Terms of Service

Pinpoint is a paid, subscription tool that uses AI to read construction documents and draft a scope of work. It produces drafts that a qualified person has to check. You are billed monthly on the date you subscribed, your plan allowance resets on that same date and does not roll over, runs that fail are not charged, and we will not raise your price without emailing you at least 30 days first.
This summary is for orientation only. The numbered sections below are the agreement.
1. Who we are, and what this agreement covers
Pinpoint is operated by Grey Software, LLC ("Grey", "we", "us"). These Terms of Service (the "Terms") are a binding agreement between Grey and the person or company using Pinpoint ("you").
They cover the Pinpoint web application at https://pinpoint.grey.software, the Grey website at https://grey.software, and anything else we make available under them (together, the "Service").
Our Privacy Policy and our AI Disclosure are part of this agreement. By creating an account, subscribing, or using the Service, you agree to all three. If you are agreeing on behalf of a company, you confirm you are authorized to bind it, and "you" means that company.
2. Your account
Accounts are created by email. We do not use passwords — signing in sends a one-time link to your address, so whoever controls that inbox controls the account. Keep it secure, and tell us promptly at support@grey.software if you believe someone else has access.
You must be at least 18 years old and legally able to enter into contracts. One account is for one person or company; sharing credentials so that several businesses use one subscription is not permitted.
You are responsible for everything done through your account, including by people you give access to and including charges they incur.
3. What Pinpoint does — and what it is not
Pinpoint is an AI-assisted drafting tool. Its output is a starting point for a qualified person to verify against the source documents. It is not an estimate, a bid, a takeoff of record, or professional advice, and it must not be relied on without being checked.
Pinpoint reads the drawings and specifications you upload and produces a draft scope of work: line items, the divisions and spec sections they appear to belong to, and where on the drawings they appear to be located. It also lets you ask questions about your documents and generate written scope text.
All of that is produced by automated systems, including large language models. Those systems make mistakes. They can miss items that are present, invent items that are not, misread a sheet, attribute an item to the wrong division or spec section, point at the wrong location, or be confidently wrong. Confidence scores rank one result against another; they are not a guarantee about any of them.
You are responsible for reviewing Pinpoint's output against the actual project documents before using it for a bid, a contract, a purchase, or construction. Our AI Disclosure describes this in more detail and forms part of these Terms.
Nothing Pinpoint produces is engineering, architectural, legal, or accounting advice, and using it does not create a professional relationship of any kind between you and Grey.
4. Your documents and your content
The documents you upload, the notes and edits you make, and the scope data derived from them are yours ("Your Content"). Grey claims no ownership of them.
You grant us a limited license to host, copy, transmit, process and display Your Content strictly to operate the Service for you — including sending it to the third-party AI providers listed in our Privacy Policy so that it can be read and processed. This license exists only so we can run the Service, and it ends when you delete the content or close your account, subject to the retention periods in the Privacy Policy.
We do not use Your Content to train AI models, and we do not sell it or share it with other customers.
You confirm that you have the right to upload what you upload. Construction documents are frequently owned by an architect, engineer or owner rather than by the contractor holding them; making sure your use of them is permitted is your responsibility, not ours.
Grey owns the Service itself — the software, models, prompts, pipelines, interfaces and anything we create — along with aggregated and de-identified statistics about how the Service is used, which cannot identify you or your projects.
5. Acceptable use
You agree not to:
- upload anything you do not have the right to upload, or anything unlawful, malicious, or containing malware;
- attempt to access another customer’s account, data, or projects;
- reverse engineer, scrape, or attempt to extract the models, prompts, or pipeline logic behind the Service;
- resell, sublicense, or provide the Service to third parties as a bureau or service of your own without our written agreement;
- use the Service to build a competing product, or to benchmark it for publication, without our written agreement;
- circumvent rate limits, plan allowances, usage metering, or the paywall;
- use the Service in a way that interferes with it working for anyone else.
We may suspend an account immediately where we reasonably believe this section has been breached, or where continued use presents a security or legal risk. Where it is practical to do so we will tell you first.
6. Plans, allowances, and what a bid or project means
Pinpoint is sold as a monthly subscription. Each plan includes an allowance — measured in "bids" for subcontractor plans and "projects" for general contractor plans — together with per-project limits on things like page counts, file sizes, divisions and stored projects. The current plans and their limits are published at https://grey.software.
A bid or a project is a unit of work, not a whole file. How much a run consumes depends on the size of your document set and how many divisions are run, so before a run starts we show you an estimate of what it will use, calculated the same way the actual charge is.
That figure is an estimate. It can move as we recount your documents, and on a general contractor project the number shown before division triage assumes a typical project — it is revised once triage identifies which divisions actually apply. The amount that counts against your allowance is the one finalized when the run completes.
Runs that do not complete are not charged. The deduction is finalized only when a run reaches completion, so a run that fails or is abandoned costs you nothing.
Asking questions about your documents and generating written scope text also draw from the same allowance, at their actual processing cost. They are not separately capped.
Your allowance resets at the start of each billing period and does not carry over. Unused allowance expires; it is not refundable and has no cash value.
We do not charge overage. Instead, we may decline to start work that would take you past your allowance — you get a small overrun of about half a project, and beyond that we will ask you to wait for the reset or move to a plan that covers your volume rather than billing you for the difference.
Because we check before starting rather than after, a project that is too large for what you have left is refused up front, with the estimate and your remaining balance both shown, so you can split the upload or change plan. A run already under way is never interrupted, and everything you have already produced stays available to you.
Per-project limits are enforced separately from the allowance. A project that exceeds your plan's page, file or division limits will be blocked until you reduce it or move to a plan that covers it.
7. Billing, renewal, and cancellation
Payments are processed by Stripe. We never receive or store your full card details. Your use of Stripe's checkout is also subject to Stripe's own terms.
All prices are in US dollars and exclude any sales, use, VAT or similar taxes, which are your responsibility unless we are required to collect them.
Your billing period runs from the date you subscribe — not from the first of the calendar month. If you subscribe on the 14th, you are billed on the 14th each month and your allowance resets on the 14th. Your subscription renews automatically on that date until it is canceled.
You can cancel at any time from your account page. Cancellation takes effect at the end of the period you have already paid for: you keep full access until then, and you are not billed again. We do not pro-rate or refund the remainder of a period you have canceled.
If a payment fails, Stripe will retry it. Your access continues during that retry window rather than being cut off mid-project. If the payment ultimately fails and the subscription is canceled, access to the application ends at that point.
When a subscription ends for any reason, your projects are not deleted immediately. They remain in your account and become accessible again if you resubscribe, subject to the retention period in our Privacy Policy (currently 90 days after the subscription ends).
A subscription is required to use the application. Signing in without one will take you to the plan picker.
8. Changing your plan
Upgrades take effect immediately. Stripe charges the prorated difference for the remainder of your current period at the moment you upgrade, and your allowance moves to the new plan's full monthly figure straight away rather than being prorated. That is more generous than a strict proration and is our current practice, not a permanent entitlement; if we change it we will give notice under the "Changes to these Terms" section.
Downgrades take effect at the end of your current billing period. You keep the plan you paid for — its allowance and its limits — until that date, and then move to the lower plan. There is no mid-period credit or refund, because nothing you paid for is taken away early.
A scheduled downgrade can be canceled before it takes effect by choosing your current plan again, and is automatically canceled if you upgrade in the meantime.
If a downgrade reduces the number of divisions your plan allows and your saved trade selection no longer fits, that selection is cleared and you will be asked to choose again within the new limit.
9. Price changes
We may change the price of a plan. Where a change increases what you pay, we will email you at the address on your account at least 30 days before it takes effect, stating the current price, the new price, and the date.
An increase never applies to a period you have already paid for. It takes effect at your first renewal on or after the stated date. If you do not want to pay the new price, cancel before that renewal and you will not be charged it. Continuing to use the Service after that date means you accept the new price.
Where a change decreases what you pay, or where we find that you have been charged more than the price you agreed to, we may apply the correction immediately and credit the difference, without waiting for notice or for your renewal date. We only make automatic corrections in your favor.
Published prices apply to new subscriptions. The price you are charged is the one you agreed to, which may be lower than the current published price for the same plan — you keep that rate unless and until we give you notice of a change under this section.
10. Refunds
Subscription fees are non-refundable except where required by law or where this section says otherwise. Cancelling stops future charges; it does not refund the current period.
We will refund or credit you where you were billed an amount you did not agree to, where a duplicate or erroneous charge was taken, or where we choose to at our discretion. If you think you have been billed incorrectly, contact support@grey.software within 60 days of the charge and we will look into it.
11. Availability, support, and changes to the Service
We aim to keep the Service available and working, but we do not offer a guaranteed uptime commitment, and the Service depends on third parties — hosting, storage, payment and AI providers — whose outages affect it.
Processing times vary with the size of a document set and with demand. Estimates shown in the application are estimates.
Support is by email at support@grey.software. We respond as quickly as we reasonably can and do not commit to a response time.
We improve the Service continuously, which means features change. We may add, alter or remove functionality. If we remove or materially reduce something you rely on, or make a change that materially reduces what your plan includes, we will give you reasonable notice and you may cancel.
The AI models behind the Service are replaced and updated over time. Output for the same documents can therefore differ between runs and between model versions.
12. Confidentiality
We treat your documents and project data as confidential. We limit access to people who need it to operate or support the Service, and we do not disclose it except as described in our Privacy Policy, with your instruction, or where we are legally required to. Where we are legally compelled to disclose something and are permitted to tell you, we will.
13. Disclaimers
We do not warrant that Pinpoint's output is accurate, complete, or fit for any particular bid or project. Verifying it against your source documents is your responsibility.
Except as expressly stated in these Terms, the Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.
In particular, and without limiting the AI Disclosure, we make no warranty that the Service will identify every item in a document set, that it will classify items correctly, that its locations or spec references are correct, or that its output is suitable for submission without review.
14. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost business, lost bids, or lost or corrupted data, even if advised such damages were possible.
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the Service is limited to the greater of (a) the amount you paid us for the Service in the twelve months before the event giving rise to the claim, and (b) one hundred US dollars.
Without limiting the above, we are not liable for any loss arising from your use of Pinpoint's output without verifying it — including an underbid, an overbid, a missed scope item, a scope item that does not exist, a mispriced package, or a contract entered into on the strength of unverified output.
Nothing in these Terms excludes liability that cannot lawfully be excluded, including for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence. Some jurisdictions do not allow certain exclusions, in which case the exclusions above apply to the maximum extent permitted.
15. Indemnity
You will defend, indemnify and hold harmless Grey Software, LLC and its officers, employees and contractors from any third-party claim, loss, liability or expense (including reasonable legal fees) arising from: your breach of these Terms; content you upload that you did not have the right to upload; your use of the Service's output in a bid, contract or construction; or your infringement of anyone's intellectual property or other rights.
16. Suspension and termination
You may stop using the Service at any time and cancel your subscription from your account page. You may ask us to delete your account and its data by emailing support@grey.software.
We may suspend or terminate your access if you materially breach these Terms, if your payment fails and is not resolved, if we are required to by law, or if your use presents a security risk to the Service or to other customers. Except where the breach is serious or urgent, we will give you notice and an opportunity to fix the problem first.
We may also discontinue the Service entirely. If we do, we will give you at least 30 days' notice, refund any prepaid fees covering the period after it stops, and give you an opportunity to export your data.
The sections on your content, confidentiality, disclaimers, limitation of liability, indemnity, and governing law survive termination.
17. Changes to these Terms
We may update these Terms. When we make a material change, we will publish the updated version with a new effective date and ask you to accept it the next time you sign in. We will also email you where the change materially affects your rights or what you pay.
Changes are not retroactive. Continuing to use the Service after an update takes effect, or accepting it when prompted, means you agree to it. If you do not agree, cancel your subscription — your access continues to the end of the period you have paid for.
Every version you have accepted is recorded against your account, with the date and the exact text. You can ask us for that record at any time.
18. Governing law and disputes
These Terms are governed by the laws of the State of South Carolina, United States, without regard to conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Before starting formal proceedings, please contact us at support@grey.software and give us 30 days to try to resolve the matter with you. Most problems are faster to fix that way.
Any dispute that is not resolved that way will be brought exclusively in the state and federal courts located in the State of South Carolina, and both parties consent to that jurisdiction.
19. General
These Terms, the Privacy Policy and the AI Disclosure are the entire agreement between us about the Service and replace any earlier understanding about it.
If any provision is found unenforceable, it is limited or removed to the minimum extent necessary and the rest remains in force. Our not enforcing a provision is not a waiver of it.
You may not assign this agreement without our written consent. We may assign it in connection with a merger, acquisition, or sale of substantially all our assets, on notice to you.
Neither party is liable for failure to perform caused by events outside its reasonable control.
We may identify you as a customer by name and logo only with your prior written permission.
